Terms of Service
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. Sections 11 (Disclaimer of Warranties) and 12 (Limitation of Liability) limit the Operator’s liability to you.
1. Acceptance of Terms
These Terms of Service (these “Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you,” “your,” or the “User”), and the operator of GhostPDF (“GhostPDF,” the “Operator,” “we,” “us,” or “our”), governing your access to and use of the GhostPDF website, the browser-based PDF editing application made available thereon, and any related offline or cached instance thereof (collectively, the “Service”).
By accessing, browsing, or otherwise using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms and by the Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case “you” shall refer to such entity.
2. Definitions and Interpretation
“User Content” means any document, file, image, signature, form value, recognized text, annotation, or other material that you open, create, modify, or export using the Service. “Local Storage” means the IndexedDB, localStorage, Cache Storage, and other storage facilities provided by your browser on your device. “Software License” means the GhostPDF Freeware License distributed with the Service.
In these Terms, (i) the words “include,” “includes,” and “including” shall be deemed to be followed by the words “without limitation”; (ii) the words “herein,” “hereof,” and “hereunder” refer to these Terms as a whole; (iii) headings are for convenience of reference only and shall not affect interpretation; and (iv) words in the singular include the plural and vice versa.
3. Eligibility
You must be at least thirteen (13) years of age, or such higher age as may be required by applicable law in your jurisdiction, to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. You may not use the Service if you are prohibited from doing so under any applicable law.
4. Grant of License
Subject to your continuing compliance with these Terms, the Operator hereby grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free license to access and use the Service for any lawful personal or commercial purpose. The Service is provided free of charge. Your use of the GhostPDF software is additionally governed by the Software License. In the event of any conflict between these Terms and the Software License with respect to the software itself, the Software License shall control; in all other respects, these Terms shall control.
All rights not expressly granted herein are reserved by the Operator and its licensors. Nothing in these Terms shall be construed as conferring any license or right by implication, estoppel, or otherwise, except as expressly set forth herein.
5. User Content
5.1 Ownership
As between you and the Operator, you retain all right, title, and interest, including all intellectual property rights, in and to your User Content. Because all processing of User Content occurs locally on your device and no User Content is transmitted to the Operator, the Operator neither requires nor obtains any license to your User Content.
5.2 Responsibility
You are solely and exclusively responsible for your User Content and for the consequences of opening, modifying, signing, redacting, distributing, or otherwise using it. You represent and warrant that you possess all rights, licenses, consents, and authorizations necessary to open, modify, and use each item of User Content in the manner in which you use it, and that such use does not and will not infringe, misappropriate, or violate the rights of any third party or any applicable law.
6. Acceptable Use
You agree that you shall not, and shall not permit any third party to:
- use the Service to create, alter, or falsify any document, signature, seal, certificate, or record with intent to defraud, deceive, or mislead, or otherwise in furtherance of forgery, fraud, or any other unlawful act;
- use the Service to infringe, misappropriate, or violate any copyright, trademark, trade secret, privacy, publicity, or other right of any person;
- copy, frame, mirror, resell, sublicense, or redistribute the Service, or make the Service available to third parties as a hosted or standalone offering, except as expressly permitted by the Software License;
- modify, adapt, translate, decompile, disassemble, or reverse engineer the Service, or create derivative works thereof, except to the extent that such restriction is expressly prohibited by applicable law;
- interfere with, disrupt, or impose an unreasonable or disproportionately large load upon the Service or the infrastructure through which it is delivered, including by means of automated scripts, crawlers, or denial-of-service attacks;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in the Service; or
- use the Service in violation of any applicable local, state, national, or international law, rule, or regulation.
7. Electronic Signatures
The signature functionality of the Service permits you to place a drawn or typed image of a signature upon a document. Such functionality does not constitute a digital signature, certificate-based signature, qualified electronic signature, or trust service within the meaning of the U.S. Electronic Signatures in Global and National Commerce Act, the Uniform Electronic Transactions Act, Regulation (EU) No 910/2014 (“eIDAS”), or any comparable law. The Service does not authenticate the identity of any signatory, does not maintain an audit trail, and does not render any document tamper-evident. The Operator makes no representation or warranty as to the legal validity, enforceability, or admissibility of any document signed using the Service, and you are solely responsible for determining whether the Service is suitable for your intended purpose.
8. Redaction, OCR, Compression, and Other Processing
The Service provides tools for redaction, whiteout, optical character recognition, image compression, form flattening, and page manipulation. Such tools are provided as conveniences only. You acknowledge and agree that (i) whiteout and other annotations merely obscure, and do not remove, underlying content; (ii) recognized text may contain errors or omissions; (iii) compression is lossy and irreversible in the resulting file; and (iv) the Operator does not warrant that redaction will remove all sensitive information from any document, including information contained in metadata, attachments, form fields, bookmarks, or other document structures. You are solely responsible for inspecting and verifying every exported document before relying upon, filing, or distributing it. The Service is not intended for use as the sole means of compliance with any legal, regulatory, or contractual obligation concerning the protection of confidential, privileged, or personal information.
9. Local Storage and Data Loss
The autosave and local library features retain User Content solely in Local Storage on your device. Local Storage may be cleared, evicted, or rendered inaccessible at any time by your browser, operating system, storage quotas, private browsing modes, software updates, or your own actions, without notice. The Operator does not maintain any copy of, and cannot recover, any User Content. You are solely responsible for maintaining independent backup copies of all User Content, and the Operator shall have no liability whatsoever for any loss, corruption, or unavailability of User Content.
10. Intellectual Property
The Service, including its software, source code, object code, design, user interface, text, graphics, logos, and the name “GhostPDF,” and all intellectual property rights therein (collectively, the “Operator Materials”), are and shall remain the exclusive property of the Operator and its licensors, and are protected by copyright, trademark, and other laws. The Service incorporates certain third-party open-source software, fonts, and data, each of which is licensed under its respective license terms, copies of which are distributed with the Service. Nothing in these Terms limits any right you may have under any such third-party license.
Should you elect to provide the Operator with any suggestion, comment, or other feedback regarding the Service (“Feedback”), you hereby grant the Operator a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable license to use, reproduce, modify, and otherwise exploit such Feedback for any purpose without obligation or compensation to you.
11. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, with all faults, and without warranty of any kind. The Operator hereby expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and any warranties arising out of course of dealing or usage of trade. Without limiting the foregoing, the Operator does not warrant that (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any output, export, redaction, OCR result, or signed document will be accurate, complete, reliable, or legally effective; or (d) any defect or error will be corrected. No advice or information, whether oral or written, obtained from the Operator shall create any warranty not expressly stated herein.
12. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall the Operator, or its affiliates, contributors, licensors, or service providers (collectively, the “Operator Parties”), be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, or for the cost of procurement of substitute goods or services, arising out of or relating to these Terms or your access to, use of, or inability to use the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not the Operator Parties have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, the aggregate liability of the Operator Parties for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amounts actually paid by you to the Operator for use of the Service during the twelve (12) months preceding the event giving rise to the claim, or (b) fifty United States dollars (US$50.00).
The limitations set forth in this Section 12 constitute an essential element of the basis of the bargain between you and the Operator, and shall apply notwithstanding the failure of essential purpose of any limited remedy. Certain jurisdictions do not permit the exclusion or limitation of certain warranties or damages; in such jurisdictions, the foregoing exclusions and limitations shall apply only to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Operator Parties from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your User Content; (ii) your use or misuse of the Service; (iii) your breach of these Terms; or (iv) your violation of any law or the rights of any third party. The Operator reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate with the Operator in asserting any available defenses.
14. Modification, Suspension, and Discontinuation
The Operator reserves the right, at any time and from time to time, in its sole discretion and without notice or liability to you, to modify, suspend, or discontinue the Service, or any feature or portion thereof, temporarily or permanently. The Operator shall have no obligation to provide any maintenance, support, updates, or upgrades.
15. Term and Termination
These Terms shall remain in full force and effect for so long as you access or use the Service. The license granted in Section 4 shall terminate automatically, without notice, upon any breach by you of these Terms. Upon termination, you shall cease all use of the Service and delete all cached copies thereof within your control. Sections 2, 5, 7 through 13, and 16 through 19, together with any other provision which by its nature is intended to survive, shall survive any termination of these Terms.
16. Governing Law and Dispute Resolution
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service (each, a “Dispute”), shall be governed by and construed in accordance with the laws of the jurisdiction in which the Operator is domiciled, without giving effect to any choice-of-law or conflict-of-law rule or provision that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Prior to initiating any formal proceeding, the party asserting a Dispute shall first provide the other party with written notice describing the nature and basis of the Dispute and the relief sought, and the parties shall attempt in good faith to resolve the Dispute informally for a period of not less than thirty (30) days following receipt of such notice. Notices to the Operator shall be sent to the address set forth in Section 20.
Nothing in this Section 16 shall deprive you of the protection afforded by any mandatory provision of the consumer protection laws of your country of habitual residence, or of any right to bring proceedings before the courts of such country where such right cannot be waived by contract.
17. Export Controls
You shall comply with all applicable export control and economic sanctions laws and regulations in connection with your access to and use of the Service. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions, and that you are not identified on any governmental list of prohibited or restricted parties.
18. Amendments to these Terms
The Operator reserves the right, in its sole discretion, to amend, modify, or replace these Terms at any time. Any amendment shall become effective upon publication of the revised Terms on the Service, as indicated by the “Last Updated” date set forth above, and shall apply prospectively only. Your continued access to or use of the Service following the publication of any amendment shall constitute your binding acceptance thereof. If you do not agree to any amendment, your sole and exclusive remedy is to cease using the Service.
19. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and the Software License, constitute the entire agreement between you and the Operator with respect to the subject matter hereof, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
- Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible and reformed to the minimum extent necessary to render it enforceable, and the remaining provisions shall continue in full force and effect.
- No Waiver. No failure or delay by the Operator in exercising any right, power, or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any further exercise of any right, power, or remedy.
- Assignment. You may not assign, delegate, or otherwise transfer these Terms or any of your rights or obligations hereunder, whether voluntarily, by operation of law, or otherwise, without the Operator’s prior written consent. The Operator may freely assign or transfer these Terms without restriction. Any purported assignment in violation of this Section shall be null and void.
- Force Majeure. The Operator shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, governmental action, or failures of the Internet, utilities, or third-party service providers.
- Relationship of the Parties. Nothing in these Terms shall be construed to create any partnership, joint venture, agency, fiduciary, or employment relationship between you and the Operator.
- No Third-Party Beneficiaries. Except for the Operator Parties as provided in Sections 12 and 13, these Terms confer no rights or remedies upon any person other than the parties hereto.
- Electronic Communications. You consent to receive communications from the Operator electronically and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
- Language. These Terms are drafted in the English language. Any translation is provided for convenience only, and in the event of any inconsistency, the English version shall prevail.
